1. General
1.1 Parties to the Agreement
This agreement is entered into between NovaSolu Oy (hereinafter "Service Provider") and the customer using the services (hereinafter "Customer").
1.2 Subject of the Agreement
This agreement concerns the domain registration and management service provided by the Service Provider, which allows the Customer to register, manage, and renew domain names (hereinafter "Service"). The Service covers only domain registration and does not include other online services such as web hosting or email services, unless otherwise explicitly stated. Website services are also subject to the terms in section 7.
1.3 Agreement Commencement and Duration
The agreement comes into effect when the Customer accepts these Terms of Service and registers a domain name through the Service Provider. The agreement is valid until further notice, unless terminated in accordance with these Terms of Service.
2. Service Content and Use
2.1 Domain Registration
The Service Provider acts as a domain registration intermediary and offers the Customer the opportunity to register domain names through various registrars.
2.2 Registration Conditions
For domain registration, the Customer must provide all required information correctly and up-to-date. The Service Provider is not responsible for registration problems caused by incorrect or incomplete information.
2.3 Domain Renewal and Expiration
- The Customer is responsible for renewing their domain name before it expires.
- The Service Provider may send reminders about domain expiration, but is not responsible if the Customer does not retain the domain name despite renewal.
- If the Customer does not renew their domain name in time, it may be removed from the registry or become available to other users.
2.4 WHOIS Information and Privacy Protection
- During domain registration, the Customer's information is stored in the databases of registration authorities and may be visible in WHOIS databases, unless privacy protection has been specifically activated.
- The Customer can request domain privacy protection if the registrar supports it.
3. Payments and Pricing
3.1 Price List
The price list for the Service is available on the Service Provider's website. All prices are stated in Euros (€) and include value-added tax, unless otherwise stated.
3.2 Payment Terms
- Payments are made at the time of order via online banking, credit card, or another accepted payment method.
- Domain registration will only occur once payment has been made.
- Unpaid orders will not be processed, and the Service Provider is not responsible for any lost domain names due to payment default.
3.3 Price Changes
The Service Provider reserves the right to change the prices of the Service at any time. Price changes do not affect registrations that have already been paid for but may apply to future renewals.
4. Customer Responsibilities and Obligations
4.1 Accuracy of Information
The Customer is responsible for the accuracy and up-to-dateness of the information they provide. Providing false or incomplete information may lead to the loss of the domain name.
4.2 Use of Domain Names
- The Customer must not use the registered domain names for illegal, fraudulent, or unethical activities.
- The Customer is responsible for the use of their registered domain names and any potential conflicts related to intellectual property rights.
4.3 Intellectual Property Rights and Trademarks
The Customer is responsible for ensuring that the domain name being registered does not infringe on the trademarks or other intellectual property rights of third parties.
4.4 Limitations of Liability
The Service Provider is not liable for any direct or indirect damages arising from the use of the domain name, such as loss of business, data loss, or other damages that may be incurred by the Customer or third parties.
5. Service Provider's Rights and Obligations
5.1 Service Maintenance and Development
The Service Provider strives to maintain and develop the Service but does not guarantee uninterrupted or error-free operation of the Service.
5.2 Right to Suspend or Cancel Service
The Service Provider may suspend or cancel the Customer's domain name if:
- The Customer violates these Terms of Service,
- The Customer uses the domain name for an illegal or harmful purpose,
- Registration authorities require the closure of the domain name.
5.3 Changes to Terms of Service
NovaSolu Oy reserves the right to change these Terms of Service by notifying the Customer within a reasonable time before the changes come into effect.
6. Data Protection
6.1 Data Protection
NovaSolu Oy is committed to protecting the privacy of its Customers. The processing of personal data will comply with the Finnish Data Protection Act, the EU General Data Protection Regulation (GDPR), and other applicable legislation. More detailed information on the processing of personal data, Customer rights, and the Service Provider's data protection practices can be found on the privacy policy page.
7. Website Services
7.1 Content of the Service
In the website service, the Service Provider designs and builds a website or webstore for the Customer (hereinafter "Site") and maintains it for a monthly fee. Depending on the chosen package, the monthly fee includes the Site's hosting, technical updates, technical support and small changes. The exact content and price of the service are agreed in the quote.
7.2 Contract Term and Termination
- The first 12-month period of the agreement is a fixed term and cannot be terminated during the period. The Customer is obliged to pay the monthly fees of the first period in full.
- After the first period, the agreement continues as a maintenance agreement valid until further notice, which either party may terminate to end at the end of the current billing period.
7.3 Payments
- The monthly fees and the webstore setup fee are invoiced as agreed in the quote.
- The monthly fee does not include third-party fees, such as the domain, Shopify's monthly fee or paid add-ons. The Customer pays them directly to the provider of that service, unless otherwise agreed.
7.4 Small Changes and Additional Work
- The monthly fee includes the amount of small changes per month set by the service package. Unused hours do not carry over to the next month.
- Small changes are, for example, changing a text, an image, a price or contact details.
- New pages and features, design changes, regular content management and order processing are additional work, invoiced separately according to the price list or quote.
7.5 Ownership and Handover of the Site
- Once the monthly fees of the first 12-month period and any setup fee have been paid in full, the Site becomes the property of the Customer and the Customer receives the Site's files and content on request.
- If the agreement ends during the first period or payments are not made, the Site, its files or data are not handed over to the Customer, and the Site remains the property of the Service Provider.
- The rights to material supplied by the Customer, such as texts, images and logos, always remain with the Customer.
- Third-party components, such as themes, fonts, add-ons and the Shopify platform, are subject to their own licence and usage terms.
7.6 Late Payments
If a payment is overdue and is not paid despite a reminder, the Service Provider may suspend the maintenance and hosting of the Site until the overdue payments have been paid.
7.7 Hosting and End of Maintenance
- The Site is hosted in a hosting environment chosen by the Service Provider. The Service Provider does not guarantee uninterrupted operation of the Site.
- When maintenance ends after the first period, the Service Provider hands over the Site's files to the Customer, and the hosting provided by the Service Provider ends.
